3.2 Invoicing
Upon contracting the Service, a single invoice shall be issued including all costs associated with the initiation and configuration of the Service, as agreed in the commercial proposal previously delivered to and signed by the Client. Billing modality
The Client may choose between two billing modalities:
Additional services or Service add-ons billed based on the Client’s monthly consumption shall be invoiced separately on a monthly basis and must be settled by any of the payment methods set forth in Section 3.4 and previously agreed upon. The annual payment modality shall entitle the Client to one (1) free monthly fee, calculated according to the licenses and modules contracted at the time of issuance of the corresponding annual invoice.

In the event of a returned direct debit payment for reasons not attributable to the Provider, the Provider may charge the Client the bank fees incurred as a result of such return, as well as an administrative fee for managing the non-payment. The Client undertakes to maintain at all times sufficient funds in the designated account to meet the relevant debits and to notify the Provider of any changes to the bank details at least seven (7) calendar days prior to the scheduled collection date. The Provider reserves the right to apply or not apply this index and, if applicable, to defer its application and apply it in any month of the year. If the Client objects, the Client may terminate the remaining Term as the sole remedy, by providing notice within thirty (30) days from receipt of the price modification notice.
4. Developments Requested by Third Parties
The Service operates as a global cloud-based platform, supported by a single shared instance for all clients. Accordingly, any functional development, enhancement or adaptation shall be incorporated into such shared instance, regardless of whether it originates from an initiative of the Provider or a request from a third party. In particular, developments requested by third parties, including specific enhancements, general functional evolutions, technical adaptations, or implementations arising from sector-wide needs or legal obligations applicable to multiple users, shall not be deemed exclusive developments of the requesting party. This applies even in cases where such developments have been partially or fully financed by the third party or initiated at their own request. The Provider reserves the exclusive right to decide whether to incorporate such developments into the standard version of the Service, without the need to obtain the prior consent of the requesting third party, and may publicly announce their availability through the Provider’s usual client communication channels. Furthermore, in order to provide operational flexibility, the Provider may, when technically feasible, configure such developments to be enabled or adjusted independently by each client. Under no circumstances shall the requesting third party claim any rights of exclusivity, confidentiality, prior authorization, or objection with respect to the integration, use, or dissemination of the aforementioned developments.
